Terms and Conditions

These terms govern your use of lumabio.us and any purchase you make from it. By placing an order you accept them. If you do not accept them, do not order.

1. Who you are contracting with

This website is operated by Luma Bio. In these terms “we”, “us” and “Luma Bio” mean the operator of lumabio.us, and “you” means the person or organisation placing the order.

2. Research use only

Everything we sell is supplied for laboratory research use only and is not for human or veterinary use. Our Research Use Policy is incorporated into these terms in full. The representations it asks you to make are conditions of every sale, and a breach of any of them is a breach of these terms.

3. Eligibility

You must be at least 21 years old and legally able to enter a binding contract. If you order for an organisation, you confirm you are authorised to bind it, and it is bound alongside you.

4. Accounts

You are responsible for the accuracy of the information on your account and for keeping your password confidential. Tell us promptly if you believe your account has been used without your permission. We may suspend or close an account that is used in breach of these terms, that carries inaccurate information, or that we reasonably believe is being used fraudulently.

5. Products and descriptions

We describe our materials as accurately as we can, but product images are representative rather than exact, and packaging, appearance and lot details vary between batches. Nothing in a description is a warranty of suitability for a particular purpose.

Availability is not guaranteed. Listing a product is an invitation to order, not an offer, and stock may be exhausted between your order and our acceptance of it.

6. Pricing and payment

Prices are in United States dollars and exclude taxes, duties and shipping unless stated otherwise at checkout. We may change prices at any time; the price that applies is the one shown when we accept your order.

If a product is listed at an obviously incorrect price through error, we are not obliged to supply it at that price. We will contact you, and you may confirm at the corrected price or cancel for a full refund.

Payment methods currently accepted are shown at checkout. You warrant that any payment method you use is yours or that you are authorised to use it.

7. Orders and acceptance

Submitting an order is an offer to buy. A confirmation email acknowledges receipt but does not accept the order. The contract forms when we dispatch the goods, or when we tell you explicitly that the order is accepted.

We may refuse, cancel or limit any order at our discretion, as described in the Research Use Policy. Where we cancel an order you have already paid for, we refund it in full.

8. Shipping, returns and refunds

Delivery is governed by our Shipping Policy, and returns and refunds by our Refund and Returns Policy. Both form part of these terms.

9. Things you must not do

• Use anything bought here in or on a human or animal body
• Resell, repackage, relabel or redistribute our materials for human or veterinary use
• Describe our materials as approved, therapeutic, or fit for consumption
• Order on behalf of someone who could not lawfully order themselves
• Provide false information at checkout, including a delivery address intended to disguise the destination
• Interfere with the operation or security of this website, or access it by automated means without our written permission

10. Intellectual property

The Luma Bio name, logo, brand system, site design, photography and written content belong to us or our licensors and are protected by intellectual property law. You may view and print pages for your own reference. You may not copy, republish or use them commercially without our written permission.

11. Disclaimer of warranties

To the fullest extent the law allows, the materials and this website are supplied “as is” and “as available”, and we exclude all implied warranties including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the site will be uninterrupted or error-free.

Nothing in these terms excludes or limits any liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, or for fraud.

12. Limitation of liability

To the fullest extent the law allows, we are not liable for indirect, incidental, special, consequential or punitive loss, or for lost profits, revenue, data or research outcomes, however caused. Our total liability arising out of or in connection with any order is limited to the amount you paid for that order.

13. Indemnity

You agree to indemnify us against claims, losses, liabilities and reasonable legal costs arising from your breach of these terms, your misuse of anything bought here, or your breach of any law or regulation that applies to your purchase, possession or use of it.

14. Privacy

How we handle personal information is set out in our Privacy Policy.

15. Governing law

These terms are governed by the laws of California, United States, without regard to conflict-of-laws rules. The courts of San Diego County, California have exclusive jurisdiction, and you and we both submit to it. If you are a consumer, this does not remove any protection you have under the mandatory law of your home jurisdiction.

16. General

If any provision is found unenforceable, the rest continues in force. Our failure to enforce a provision is not a waiver of it. You may not assign your rights under these terms without our consent; we may assign ours on notice to you. These terms, together with the policies they incorporate, are the entire agreement between us regarding your purchase.

17. Changes

We may amend these terms. The version that applies to an order is the one published when the order is placed. Continuing to use the site after a change means you accept the amended version.
